SupplyLens™ Pro Terms of Use

These SupplyLens™ Pro Terms of Use (“Terms”) govern access to and use of the SupplyLens™ Pro platform and related services provided by Lytica Inc. (“Lytica,” “we,” “us,” or “our”).

Your organization’s access to SupplyLens™ Pro may also be governed by a master services agreement, SaaS agreement, order form, or other written agreement between Lytica and your organization (“Customer Agreement”). If these Terms conflict with the Customer Agreement, the Customer Agreement will control to the extent of the conflict.

1. Authorized Use

SupplyLens™ Pro may only be accessed and used by individuals who:

  • Have been authorized by a Lytica customer;
  • Have been assigned valid login credentials;
  • Are using the platform for that customer’s legitimate internal business purposes; and
  • Comply with these Terms and the applicable Customer Agreement.

Your account is personal to you. You may not share, transfer, sell, sublicense, or otherwise provide your account credentials to another person or system.

2. Account Security

You are responsible for maintaining the confidentiality and security of your account credentials.

You agree to:

  • Use a strong and unique password;
  • Not reuse credentials associated with another service;
  • Not allow another person or automated system to use your account;
  • Promptly notify Lytica or your organization’s administrator if you believe your credentials have been lost, stolen, compromised, or used without authorization; and
  • Cooperate with reasonable security measures, including password resets, multifactor authentication, session termination, or identity verification.

Lytica may require you to reset your password or complete additional authentication steps when unusual or potentially unauthorized activity is detected.

3. Automated Access

You may access SupplyLens™ Pro only through interfaces, functionality, APIs, integrations, and access methods expressly provided or authorized by Lytica.

Unless Lytica has expressly authorized it in writing, you may not use any:

  • Bot;
  • Robot;
  • Web crawler or spider;
  • Scraper;
  • Script;
  • Browser automation tool;
  • Robotic process automation tool;
  • Artificial intelligence agent;
  • Autonomous system; or
  • Other automated technology

to sign in to, access, query, search, monitor, interact with, download from, or extract information from SupplyLens™ Pro.

This restriction does not apply to an API, integration, service account, AI agent, or other automated capability that Lytica has expressly enabled or approved for your organization.

4. Prohibited Conduct

You may not, and may not permit another person or system to:

4.1 Circumvent platform controls

  • Circumvent or attempt to circumvent authentication, authorization, security controls, rate limits, usage limitations, account restrictions, or technical safeguards;
  • Avoid, disable, interfere with, or bypass platform security features;
  • Attempt to obtain access to another user’s account, customer environment, data, or functionality;
  • Use false or misleading identity or account information; or
  • Continue attempting to access an account after it has been suspended, disabled, or restricted.

4.2 Conduct excessive or disruptive activity

  • Generate login attempts, requests, queries, downloads, or other activity at a volume or frequency that is inconsistent with reasonable human use of the standard platform interface;
  • Create an unreasonable or disproportionate load on SupplyLens™ Pro or Lytica’s systems;
  • Interfere with the availability, integrity, performance, or security of the platform;
  • Perform load testing, penetration testing, vulnerability scanning, or similar testing without Lytica’s prior written authorization; or
  • Use multiple accounts, IP addresses, devices, or methods to evade platform controls.

4.3 Extract or reproduce platform information

  • Scrape, harvest, systematically download, copy, aggregate, export, reproduce, or extract data or content from SupplyLens™ Pro except through functionality expressly provided by Lytica;
  • Create or maintain an unauthorized database derived from SupplyLens™ Pro;
  • Republish, resell, sublicense, distribute, or commercially exploit Lytica data, reports, analytics, benchmarks, intelligence, or platform outputs;
  • Remove or obscure proprietary notices; or
  • Use Lytica content outside the permitted scope of your organization’s subscription.

4.4 Misuse Lytica intellectual property

  • Reverse engineer, decompile, disassemble, decode, translate, or attempt to discover the source code, models, algorithms, logic, prompts, data structures, or underlying methods of SupplyLens™ Pro;
  • Copy or reproduce the design, functionality, user experience, workflows, or features of the platform;
  • Use SupplyLens™ Pro to develop, benchmark, validate, or improve a competing product or service; or
  • Misrepresent Lytica data, analytics, recommendations, or outputs as your own proprietary intelligence.

5. Use with Artificial Intelligence Systems

Unless expressly authorized in writing by Lytica, you may not use SupplyLens™ Pro or any data, intelligence, reports, recommendations, outputs, or content obtained through the platform to:

  • Train or fine-tune an artificial intelligence or machine-learning model;
  • Populate a retrieval, vector, knowledge, or training database;
  • Develop or improve an AI agent, automated sourcing tool, or competing intelligence product;
  • Perform automated benchmarking or model evaluation;
  • Allow an external AI system to autonomously access SupplyLens™ Pro; or
  • Systematically transmit Lytica content into a third-party AI platform.

Use of AI functionality that is provided directly within SupplyLens™ Pro or expressly approved by Lytica is permitted subject to the applicable Customer Agreement and product documentation.

6. Customer Data and Confidentiality

You may only upload, access, process, or use information that you and your organization are authorized to use.

You may not use SupplyLens™ Pro to:

  • Access information belonging to another customer;
  • Upload malicious code or harmful content;
  • Upload information in violation of law, contractual obligations, confidentiality obligations, or third-party rights; or
  • Attempt to identify, reconstruct, or obtain another customer’s confidential information from Lytica benchmarks, models, or outputs.

Information available through SupplyLens™ Pro may include confidential or proprietary information belonging to Lytica, your organization, or third parties. You must protect that information in accordance with the applicable Customer Agreement and your organization’s security requirements.

7. Monitoring and Security Review

To operate, secure, support, and improve SupplyLens™ Pro, Lytica may monitor and record information associated with platform access and use, including:

  • Login and authentication events;
  • Date and time of access;
  • IP address and approximate location;
  • Device, browser, and user-agent information;
  • Session and token activity;
  • Platform requests and usage patterns;
  • Download, export, and query activity; and
  • Security-related events and anomalies.

Lytica may use this information to identify unauthorized access, credential compromise, automation, misuse, technical issues, security threats, and violations of these Terms, subject to applicable law, Lytica’s privacy obligations, and the Customer Agreement.

8. Protective Actions and Suspension

Lytica may immediately limit, suspend, lock, or disable an account or other access to SupplyLens™ Pro where Lytica reasonably believes that:

  • Account credentials may have been compromised;
  • An account is being used by an unauthorized person or automated system;
  • Activity associated with the account is unusually high, anomalous, abusive, or potentially harmful;
  • Use of the account creates a security, availability, integrity, or performance risk;
  • These Terms or the Customer Agreement may have been violated; or
  • Suspension is reasonably necessary to protect Lytica, the customer, another customer, or the platform.

Protective action may include:

  • Requiring a password reset;
  • Revoking active sessions or tokens;
  • Requiring multifactor authentication;
  • Blocking an IP address, device, integration, or access method;
  • Temporarily restricting downloads, exports, or other functionality;
  • Disabling automated access;
  • Locking an individual account; or
  • Suspending broader customer access where reasonably necessary.

Established SaaS acceptable-use policies commonly preserve the provider’s ability to suspend access and require cooperation when prohibited activity is suspected.

Where commercially reasonable and legally permitted, Lytica will notify the affected customer and work with the customer to restore access after the identified risk has been addressed.

9. Investigation and Cooperation

You and your organization agree to reasonably cooperate with Lytica in investigating suspected:

  • Unauthorized access;
  • Credential compromise;
  • Excessive login activity;
  • Automated or scripted activity;
  • Data extraction;
  • Account sharing;
  • Security incidents; or
  • Violations of these Terms.

Lytica may request that you or your organization:

  • Confirm whether activity was authorized;
  • Identify approved users, devices, systems, or IP addresses;
  • Reset credentials;
  • Disable unauthorized tools or integrations;
  • Terminate active sessions;
  • Provide relevant technical information; or
  • Take other reasonable steps to protect the account and platform.

10. Authorized APIs and Integrations

These Terms do not prohibit use of APIs, integrations, service accounts, or automated features that Lytica has expressly made available or approved.

Authorized access remains subject to:

  • Applicable documentation;
  • Usage and rate limits;
  • Authentication requirements;
  • Subscription entitlements;
  • Security requirements; and
  • Any additional API, integration, or product-specific terms.

Lytica may restrict or revoke authorized automated access where it presents a security risk, exceeds permitted usage, or violates the applicable agreement.

11. Intellectual Property

SupplyLens™ Pro, including its software, user interface, workflows, analytics, models, benchmarks, reports, content, databases, documentation, branding, and underlying technology, is owned by Lytica or its licensors and is protected by applicable intellectual property laws.

Except for the limited right to use SupplyLens™ Pro under the applicable Customer Agreement, no rights are transferred to you or your organization.

12. Platform Outputs

SupplyLens™ Pro provides intelligence and decision-support information. Platform outputs may be based on available data, models, assumptions, and analytical methods and should be evaluated using appropriate professional and business judgment.

You and your organization remain responsible for decisions made using SupplyLens™ Pro.

13. Changes to these Terms

Lytica may update these Terms to reflect:

  • New functionality;
  • New access methods;
  • Changes in technology;
  • Emerging security risks;
  • Legal or regulatory requirements; or
  • Changes to platform policies.

Where required, Lytica will present updated Terms for acceptance before permitting continued access to SupplyLens™ Pro.

The effective date and version number will be displayed at the top of these Terms.

14. Termination of User Acces

Your right to use SupplyLens™ Pro ends when:

  • Your organization’s subscription or Customer Agreement ends;
  • Your organization removes your authorization;
  • Your employment or relationship with the customer ends;
  • Your account is terminated or disabled; or
  • Lytica terminates or suspends access in accordance with these Terms or the Customer Agreement.

Upon termination, you must stop accessing and using SupplyLens™ Pro.
